Effective Date: [09/04/2025] Welcome to the Culture Automotive Private Members Area. By accessing and participating in this initiative, you agree to the following terms and conditions. Please read them carefully before proceeding. 1. Eligibility for Participation 1.1 Access to the Private Members Area is restricted to non-supplier, consumer community members of Culture Automotive. 2. Submission of Products 2.1 Suppliers may list products, including dead stock or other discounted goods, for sale within the Private Members Area. 2.2 All products must meet the following criteria: Be in sellable condition unless otherwise specified in the product description. Comply with Australian consumer laws and regulations. 2.3 Suppliers are responsible for ensuring accurate product descriptions, pricing, and availability. 3. Pricing and Discounts 3.1 Products listed in the Private Members Area must be offered at discounted rates exclusive to Culture Automotive members. 4. Sales and Transactions 4.1 Culture Automotive will assist in the shipping process directly from our suppliers’ warehouse to the designated address at the customer’s cost. 5. Intellectual Property 5.1 Suppliers grant Culture Automotive a non-exclusive, royalty-free license to use product images, descriptions, and branding for promotional purposes within the Private Members Area. 6. Confidentiality 6.1 Suppliers agree to keep all information, pricing, and member details obtained through the Private Members Area confidential and not disclose it to any third party. 6.2 Breach of confidentiality may result in immediate termination of access and potential legal action. 7. Termination of Access 7.1 Culture Automotive reserves the right to suspend or terminate supplier access to the Private Members Area at its sole discretion, with or without cause. 7.2 Upon termination, all supplier listings will be removed, and any pending transactions must be fulfilled by the supplier. 8. Liability and Indemnity 8.1 Culture Automotive provides the Private Members Area as a platform and will not be held liable for any disputes, losses, or damages arising from transactions or interactions between suppliers and members. 8.2 Suppliers agree to indemnify and hold harmless Culture Automotive, its employees, and affiliates from any claims or liabilities arising from their participation in the Private Members Area. 9. Amendments 9.1 Culture Automotive reserves the right to amend these terms and conditions at any time. Suppliers will be notified of any changes, and continued use of the Private Members Area constitutes acceptance of the updated terms. 10. Governing Law 10.1 These terms and conditions are governed by the laws of Western Australia. Any disputes will be resolved in accordance with Australian law. By accessing and participating in the Culture Automotive Private Members Area, you acknowledge that you have read, understood, and agree to these terms and conditions.
